STSearch Terms of Service

These Terms of Service ("Terms") govern access to and use of STSearch, including its website, application, dashboards, integrations, and related services (collectively, the "Service"). The Service is operated by CyberSleuths, LLC, a Delaware limited liability company ("CyberSleuths," "STSearch," "we," "us," or "our").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement. You may use the Service only if you are authorized to act for the relevant business and to access every Meta account, Business Portfolio, advertising account, campaign, and other asset you connect.

The initial version of STSearch is restricted to an allowlisted internal operator. A valid Meta login does not automatically grant access to STSearch.

2. The Service

STSearch is designed to retrieve, normalize, store, reconcile, and display authorized Meta advertising information. The initial MVP is a read-only monitoring application for one authorized Meta advertising account.

The Service may display information such as campaign, ad set, and ad metadata; spend; impressions; clicks; conversions; conversion value; CPA; ROAS; CTR; CPM; CVR; frequency; learning status; attribution information; synchronization status; and historical comparisons.

Unless STSearch expressly introduces and enables a later feature under separate permissions and controls, the Service does not change campaign budgets, bids, statuses, targeting, creatives, or other advertising settings.

3. Meta Services and Permissions

Some features depend on services provided by Meta Platforms, Inc. You authorize STSearch to access only the Meta assets and data covered by permissions you grant.

Your use of Meta products remains subject to Meta's terms, policies, permissions, access tiers, availability, and technical limitations. STSearch is not Meta, is not endorsed by Meta unless expressly stated, and cannot guarantee that Meta APIs, data, permissions, access tokens, reports, or services will remain available or unchanged.

You are responsible for maintaining valid authority over connected Meta assets and for promptly disconnecting access when that authority ends.

4. Accounts and Security

You are responsible for:

• Providing accurate information.
• Protecting your login methods and devices.
• Preventing unauthorized use of your STSearch session.
• Promptly notifying us of suspected compromise or unauthorized activity.
• Using only accounts and assets you are authorized to access.

You must not share credentials, bypass allowlists, impersonate another person, or attempt to access another user's data.

We may suspend access when we reasonably believe an account or connection is compromised, unauthorized, unlawful, or creates security or platform risk.

5. Acceptable Use

You may not use or attempt to use the Service to:

• Access, retrieve, monitor, or process Meta assets without authorization.
• Violate applicable law, Meta policies, advertising rules, privacy rights, intellectual-property rights, or contractual obligations.
• Circumvent authentication, authorization, platform controls, rate limits, security measures, or usage restrictions.
• Extract credentials, access tokens, app secrets, private keys, source code, or non-public system information.
• Introduce malware, exploit vulnerabilities, interfere with availability, probe systems without authorization, or conduct denial-of-service activity.
• Sell, broker, sublicense, disclose, or repurpose Meta Platform Data except as expressly permitted.
• Use the Service for unlawful discrimination, fraud, deception, surveillance, credit decisions, employment decisions, insurance eligibility, or other prohibited high-impact purposes.
• Reverse engineer or copy the Service except to the limited extent such restriction is prohibited by law.
• Use automated means to overload the Service or create unreasonable operational burden.

6. Advertising Data and Metrics

Advertising metrics may vary because of attribution windows, reporting timezones, delayed conversions, sampling, API behavior, currency rounding, account configuration, data backfill, or changes made by Meta.

STSearch may mark recent data as provisional and may update historical values when Meta reports late conversions or revisions. You are responsible for confirming that comparisons use equivalent date ranges, attribution settings, action definitions, currencies, and reporting timezones.

STSearch does not guarantee that its values will always match every screen, export, or report in Meta Ads Manager without variance.

7. No Professional or Performance Guarantee

The Service provides operational software and information. It does not provide legal, tax, accounting, investment, or other regulated professional advice.

STSearch does not guarantee advertising performance, revenue, return on ad spend, conversion volume, cost savings, campaign outcomes, platform availability, or any particular business result.

Any later recommendation, analysis, anomaly, confidence label, or AI-assisted output is informational and must be independently reviewed. Correlation does not establish causation. You remain responsible for all business and advertising decisions.

8. Future Recommendations and Write Features

The initial MVP is read-only. If later versions introduce recommendations or campaign-changing actions:

• Recommendations do not execute automatically merely because they are displayed.
• Any write capability must require separate Meta permissions and an explicit human approval boundary.
• You remain responsible for reviewing the exact target, current state, proposed state, risk, budget impact, reversibility, and platform consequences before approval.
• Some consequences, including spent advertising budget, auction effects, attribution changes, and learning disruption, may not be reversible.

The availability of future functionality is not promised by these Terms.

9. Intellectual Property

The Service, software, interfaces, branding, documentation, designs, workflows, and related intellectual property are owned by CyberSleuths, LLC or its licensors and are protected by applicable law.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for its authorized business purpose. No ownership rights are transferred to you.

You retain rights in information you lawfully provide. You grant us the limited rights necessary to host, process, transmit, display, secure, and support that information for operation of the Service.

10. Feedback

If you provide ideas, suggestions, or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate it without restriction or compensation, provided we do not publicly identify you as the source without permission.

11. Privacy

Our processing of personal information is described in the STSearch Privacy Policy at https://stsearch.com/privacy.

12. Third-Party Services

The Service may depend on Meta, hosting providers, databases, monitoring services, backup providers, and other third parties. We are not responsible for third-party acts, omissions, terms, security, outages, changes, or discontinuation.

Links to third-party services do not imply endorsement.

13. Availability, Changes, and Beta Features

The Service may be unavailable because of maintenance, incidents, provider outages, security actions, Meta changes, or other causes. We may modify, suspend, restrict, or discontinue any part of the Service.

Features identified as preview, prototype, beta, experimental, sample, or synthetic may be incomplete, inaccurate, or changed without notice. Synthetic or sample data must not be treated as live advertising data.

14. Suspension and Termination

You may stop using the Service at any time and may request disconnection or deletion under our Privacy Policy.

We may suspend or terminate access if you violate these Terms, create risk, lose authorization, misuse Meta data, fail an allowlist check, compromise security, or if continued operation becomes unlawful or technically impracticable.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." CYBERSLEUTHS, LLC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND RESULTS.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, OR COMPATIBLE WITH EVERY META ACCOUNT OR CONFIGURATION.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYBERSLEUTHS, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, PERSONNEL, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR BUSINESS; ADVERTISING SPEND; CAMPAIGN PERFORMANCE; PLATFORM SUSPENSION; OR COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CYBERSLEUTHS, LLC FOR THE SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.

The exclusions and limitations apply regardless of the legal theory and even if a remedy fails its essential purpose. Some jurisdictions do not allow certain limitations, so some may not apply to you.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless CyberSleuths, LLC and its members, managers, officers, personnel, contractors, affiliates, and licensors from claims, damages, losses, liabilities, judgments, penalties, costs, and expenses, including reasonable legal fees, arising from:

• Your use or misuse of the Service.
• Your connected assets, advertising activity, content, instructions, or data.
• Your violation of these Terms, law, third-party rights, or Meta policies.
• Your lack of authority over an account or asset.

We may control the defense and settlement of an indemnified claim, and you agree to cooperate reasonably.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Except where applicable law requires otherwise, any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts with jurisdiction in Delaware, and each party consents to their personal jurisdiction and venue.

19. Changes to these Terms

We may update these Terms. The updated version becomes effective when posted unless a later date is stated. If a material change requires additional notice or consent under applicable law, we will provide it.

Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.

20. General Terms

These Terms and referenced policies constitute the entire agreement concerning the Service and supersede prior discussions concerning their subject matter.

If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, financing, merger, acquisition, or transfer of the Service.
